1. Grant of License
1.1 License: Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, worldwide, royalty-free, perpetual license to download, use, modify, and distribute the Content as follows:
- Personal and Commercial Use: The Licensee may use the Content in both personal and commercial projects, including games, animations, or other creative works, without any additional fees or royalties to the Licensor.
- Modification: The Licensee is permitted to modify or adapt the Content, including integrating it into other works, with no restrictions on the type of project.
- Standalone Use: The Licensee may use the Content as a standalone product for resale, licensing, or distribution, provided that significant modification or creative effort has been applied to the Content. The Content must not be distributed in its original form or with minimal alterations.
2. Restrictions
2.1 Prohibited Uses: The following uses of the Content are strictly prohibited:
- Direct Redistribution: The Licensee may not sell, license, sublicense, distribute, or otherwise transfer the Content in its original form or in a form that is substantially similar to its original form without prior written consent from the Licensor.

3. Ownership
The Licensee acknowledges that the Licensor retains all rights, title, and interest in and to the Content, including all intellectual property rights. This Agreement does not transfer ownership of the Content to the Licensee.
4. Disclaimer of Warranties
- No Warranty: The Content is provided "AS IS," without any warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- No Liability for Damages: In no event shall the Licensor be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Content, even if the Licensor has been advised of the possibility of such damages.
5. Indemnification
The Licensee agrees to indemnify, defend, and hold harmless the Licensor and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the Licensee's use of the Content or violation of this Agreement.
6. Termination
- Termination by Licensor: The Licensor may terminate this Agreement immediately upon written notice if the Licensee breaches any term of this Agreement.
- Effect of Termination: Upon termination, the Licensee must cease all use of the Content and destroy all copies of the Content in their possession. The Licensee’s obligations under Sections 3, 4, 5, and 7 shall survive any termination of this Agreement.
7. Governing Law and Jurisdiction
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
- Jurisdiction: The parties agree that any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in India.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
9. Amendments
The Licensor reserves the right to change the terms of this Agreement at any time. The Licensee is responsible for regularly reviewing the Agreement for any changes. Continued use of the Content after any changes constitutes acceptance of the new terms.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
